1. Acceptance of Terms
By accessing or using the DrpShippr platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
DrpShippr is an all-in-one e-commerce operations platform that provides:
- Shopify store integration for order syncing and management.
- Dropshipping order fulfilment with supplier routing and shipping label generation.
- Meta (Facebook/Instagram) ad campaign creation, management, and AI-powered optimisation.
- Product research and trending product discovery tools.
- Payout and remittance management.
3. Account Registration
- You must create an account and provide accurate information.
- You are responsible for maintaining the confidentiality of your login credentials.
- You must be at least 18 years old to use the Service.
- One person may hold only one account unless otherwise agreed.
4. Third-Party Integrations
4.1 Shopify
The Service accesses your Shopify store via the official Shopify API. You grantDrpShippr the permissions listed during the OAuth installation flow. You may revoke access anytime by uninstalling the app from your Shopify admin.
4.2 Meta / Facebook
The Service can manage Facebook and Instagram ad campaigns on your behalf when you authorise it via Facebook Login. You grant DrpShippr the following permissions:
- Read your ad accounts, Pages, and Pixels.
- Create and manage campaigns, ad sets, and ads.
- Read performance insights for optimisation.
You may revoke DrpShippr's access at any time from Facebook Business Settings > Apps. The Service will not create or modify ads without your explicit instruction through the campaign wizard. You are solely responsible for ensuring your ad creatives comply with Meta's advertising policies.
5. Fees and Payments
- Current pricing is communicated during onboarding and may be updated with 30 days notice.
- RTO (Return to Origin) fees are deducted from remittance as per the agreed fee schedule.
- Ad campaign spend is charged directly by Meta/Facebook to your ad account. DrpShippr does not handle ad spend.
- Payouts are processed on the schedule agreed at signup (typically D+6, paid weekly).
- DrpShippr is not responsible for payment gateway processing delays.
6. Order Fulfilment
- We make commercially reasonable efforts to fulfil orders within agreed SLAs.
- Delivery timelines depend on the shipping carrier and are not guaranteed.
- We are not liable for delays caused by carriers, customs, natural disasters, or force majeure.
- Cancelled or RTO orders are subject to applicable fee policies.
7. Ad Budget Recharge — Non-Refundable Policy
⚠️ All ad budget recharges are strictly non-refundable. No exceptions.
- Once funds are added to your ad wallet, they are allocated for Meta advertising campaigns and cannot be refunded under any circumstances.
- This policy applies regardless of campaign performance, account suspension, unused balance, or any other reason.
- Partial or full refunds of ad wallet recharges are not available at any stage — before, during, or after campaign launch.
- In the event of account termination, any remaining ad wallet balance is forfeited and will not be returned.
- By proceeding with a recharge, you explicitly acknowledge and accept this non-refundable policy.
8. Ad Campaign Management
- You retain full ownership of your ad creatives, targeting, and account.
- The AI optimisation agent may pause underperforming ads or scale winning ones based on configurable thresholds.
- You can disable auto-optimisation anytime from your dashboard.
- We are not responsible for ad disapproval, account restrictions, or policy violations by Meta.
- Ad spend is deducted from your wallet balance as campaigns run.
- Campaigns may be auto-paused if your wallet balance falls below ₹1,000 to prevent overdraft.
9. Prohibited Uses
You agree not to:
- Sell counterfeit, illegal, or prohibited products.
- Misrepresent products or engage in deceptive practices.
- Circumvent or abuse the platform's fee or payout systems.
- Scrape, reverse-engineer, or copy the platform.
- Use the Service to violate any applicable law or regulation.
- Create ads that violate Meta's advertising policies or community standards.
10. Intellectual Property
The Service, including all software, design, and content, is owned by DrpShippr and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without written permission.
11. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted service, error-free operation, specific business outcomes, or ad campaign performance.
12. Limitation of Liability
To the maximum extent permitted by law, DrpShippr shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost orders, lost ad spend, or data loss arising from your use of the Service.
13. Termination
You may terminate your account at any time by contacting support. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity. Upon termination, your data will be deleted within 30 days.
14. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
15. Changes to Terms
We may update these Terms with 30 days notice via email or in-app notification. Continued use after changes takes effect constitutes acceptance.
